State Laws for NPO Board Meetings by Teleconference


This page presents each state's laws addressing the use of teleconference technology for NPO Board meetings, which may include methods such as conference telephone calls, videoconferencing, real-time "text chat" systems, and other Internet communication mechanisms. Only information for states whose legal code is available online for free has been included. Notice that the legal citation given below is not to any published book of state statutes, but rather was derived from an online reference, and therefore may not be suitable for use in materials to be submitted in court (and please also read the important note below).

Please note that many states have different incorporation statutes for different types of nonprofit organizations. Certain cooperatives, educational institutions, cemeteries, religious institutions, hospitals and others specific types are commonly addressed separately from "ordinary" IRC 501(c)(3) public charitable organizations, but each state has its own legal quirks. When the state provides separate laws for different types of nonprofit organization, the one best fitting an "ordinary" IRC 501(c)(3) public charity is given below. If you are looking for the law that controls an organization other than an "ordinary" nonprofit charity, you must check the state's laws to insure that there isn't another specific law that applies to the type of organization with which you're concerned.

Section 10-3A-39: Place and notice of directors' meetings; committee meetings

(a) Meetings of the board of directors, regular or special, may be held either within or without Alabama.

(b) Regular meetings of the board of directors or any committee designated thereby may be held with or without notice as prescribed in the bylaws. Special meetings of the board of directors or any committee designated thereby shall be held upon such notice as is prescribed in the bylaws. Attendance of a director at a meeting shall constitute a waiver of notice of such meeting, except where a director attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Neither the business to be transacted at, nor the purpose of, any regular or special meeting of the board of directors or any committee designated thereby need be specified in the notice of such meeting or the waiver of notice unless required by the bylaws.

(c) Except as may be otherwise restricted by the articles of incorporation or bylaws, members of the board of directors or any committee designated thereby may participate in a meeting of such board or committee by means of a conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear each other at the same time and participation by such means shall constitute presence in person at a meeting.

(a) Regular or special meetings of the board of directors may be held either inside or outside the state.
(b) Regular meetings of the board of directors may be held with or without notice as prescribed in the bylaws. Section 5211. (5) Meetings of the board may be held at a place within or without the state that has been designated in the notice of the meeting or, if not stated in the notice or there is no notice, designated in the bylaws or by resolution of the board.

Section 5211. (6) Members of the board may participate in a meeting through use of conference telephone, electronic video screen communication, or other communications equipment. Participation in a meeting through use of conference telephone pursuant to this subdivision constitutes presence in person at that meeting as long as all members participating in the meeting are able to hear one another. Participation in a meeting through use of electronic video screen communication or other communications equipment (other than conference telephone) pursuant to this subdivision constitutes presence in person at that meeting if all of the following apply:

(A) Each member participating in the meeting can communicate with all of the other members concurrently.
(B) Each member is provided the means of participating in all matters before the board, including, without limitation, the capacity to propose, or to interpose an objection to, a specific action to be taken by the corporation.
(C) The corporation adopts and implements some means of verifying both of the following:

(i) A person participating in the meeting is a director or other person entitled to participate in the board meeting.
(ii) All actions of, or votes by, the board are taken or cast only by the directors and not by persons who are not directors.

There appears to be no provision under Chapter 292, "Voluntary Corporations and Associations" addressing the place and manner in which the Board may meet. However, Chapter 293A, "New Hampshire Business Corporation Act," does include such an explicit statement which is provided here just for comparison with other states:

(a) The board of directors may hold regular or special meetings in or out of this state.

(3) Methods of conducting meeting.

1. All participating directors may simultaneously hear each other during the meeting.

2. All communication during the meeting is immediately transmitted to each participating director, and each participating director is able to immediately send messages to all other participating directors.
